America's technological reemergence, captured in part by the Silicon Valley phenomenon, has been fueled by venture capital. And for more mature industries, LBOs have triggered corporate renewal. Countless academic studies and real-world examples have highlighted the perils of the corporate governance status quo sans LBO: the central conflict between owners and managers over the control and use of corporate resources, the unenlightened use of free cash flow, and the scrutiny of and pressure on quarter-to-quarter earnings growth versus long-term growth and value creation. By severely constraining and imposing restrictions on the use of free cash flow, LBOs force only positive net present value capital decisions. Studies have shown that operating cash flow increased on average by about 40 percent in a one-to-four-year time frame following the transaction. With LBOs driving many companies to become more focused and better at what they do, the impact on the U.S. economy and American competitiveness has clearly been positive. Michael Jensen, of the Harvard Business School, has argued that the highly leveraged transactions of the 1980s triggered increased levels of productivity and export growth for manufacturers by eliminating excess capacity in mature industries. What academics call the Anglo-American model functions in sharp contrast to the Japanese and German relationship-based systems, which are dominated by networks of banks and corporations and, until very recently, were marked by the absence of an active market for corporate control. Remember the Japanese economic miracle? It turns out that phenomenal growth concealed the deep-seated problems of that system. Accordingly, excess capital was not being returned to investors but instead was employed in building overcapacity and many a misguided diversification initiative. Similarly, capital allocation in the German economy has been driven by the big banks, well known to have low return expectations. Yes, the results of the U.S. model for corporate control and ownership can be quite harsh--such is true capitalism. But merchant banking helps keep U.S. business focused and can be a key driver in the system. Arriving in the city, he learned that the French had defeated the Spanish which jeopardized his position. Reluctant to abandon his allies, Moore pressed on to Valladolid to attack the corps of Marshal Nicolas Jean de Dieu Soult. As he neared, reports were received that Napoleon was moving against him the bulk of the French army. Battle of Corunna - British Retreat: Outnumbered more than two-to-one, Moore began a lengthy withdrawal towards Corunna in the northwest corner of Spain. There the ships of the Royal Navy waited to evacuate his men. As the British retreated, Napoleon turned the pursuit over to Soult. Moving through the mountains in cold weather, the British retreat was one of great hardship that saw discipline break down. Soldiers looted Spanish villages and many became drunk and were left for the French. As Moores men marched, General Henry Pagets cavalry and Colonel Robert Craufurds infantry fought several rearguard actions with Soults men. Arriving at Corunna with 16,000 men on January 11, 1809, the exhausted British were shocked to find the harbor empty. After waiting four days, the transports finally arrived from Vigo. While Moore planned the evacuation of his men, Soults corps approached the port. To block the French advance, Moore formed his men south of Corunna between the village of Elvina and the shoreline. Late on the 15th, 500 French light infantry drove the British from their advance positions on the hills of Palavea and Penasquedo, while other columns pushed the 51st Regiment of Foot back up the heights of Monte Mero. Battle of Corunna - Soult Strikes: On the following day, Soult launched a general assault on the British lines with an emphasis on Elvina. After pushing the British out of the village, the French were promptly counterattacked by the 42nd Highlanders (Black Watch) and the 50th Foot. The British were able to retake the village, however their position was precarious. A subsequent French attack forced the 50th to retreat, causing the 42nd to follow. Personally leading his men forward, Moore and the two regiments charged back into Elvina. Fighting was hand-to-hand and the British drove the French out at the point of the bayonet. At the moment of victory, Moore was struck down when a cannon ball hit him in the chest. With night falling, the final French attack was beaten back by Pagets cavalry. During the night and morning, the British withdrew to their transports with the operation protected by the guns of the fleet and the small Spanish garrison in Corunna. With the evacuation complete, the British set sail for England. Aftermath of the Battle of Corunna: British casualties for the Battle of Corunna were 800-900 dead and wounded. Soults corps suffered 1,400-1,500 dead and wounded. While the British won a tactical victory at Corunna, the French had succeeded in driving their opponents from Spain. A seat belt is a restraining device installed in a vehicle to prevent or minimize the force of an injury during a crash (â€Å"Seat Belts† 5). Although it is also known as a safety belt, the â€Å"safety† part is the key issue that is causing much controversy around drivers, manufacturers, and researchers alike. The main idea around the debate is the fact that although research indicates that when seat belts are used properly they save lives, opponents argue that mandating their use can actually cause more harm than good in some cases and is an infringement on personal rights.Car accidents are the leading cause of death for people under 35. Due to the fact that at least 40,000 people die each year in car accidents, the law that mandates seatbelts on all drivers/passengers in vehicles should stay in place. Although Seat Belts have been shown to provide safety to drivers and passengers who use them, not everyone is a fan of the mandatory seat belt laws. Opponents who are against the idea of mandatory seat belt laws say that they might be safer without seat belts and that airbags will protect them.Many people argue that they may be safer without seat belts. According to the article â€Å"Seat Belts† â€Å"In high-speed collisions where crash forces are extreme, seat belts have been linked to life-threatening conditions, including cardiac arrests and injuries to the chest, abdomen, or neck† (5). They put forward this idea because they feel that seat belts are causing more harm than good. However, airbags were never made to take the place of a seatbelt, and when worn with a seatbelt, they increase the effectiveness of it by 40%.Airbags also don’t protect from side-impacts at all so they aren’t safer than seatbelts. Wearing a seat belt can reduce the risk of crash injuries by 50%. Seat belts save lives and are effective in preventing ejections from a vehicle. While opponents argue that in certain cases it is better to not wear a seatbelt, wearing a seatbelt is usually the safer route. A person will never know what type of accident they might enter and thus can’t prepare for a certain type of accident.You can’t know whether or not having a seatbelt will save you. It’s better to wear a seatbelt and have a 50% of survival than not we aring a seatbelt and have a 3% chance of being in a situational accident where not having a seat belt will save you. These are called, Primary and Secondary collisions. â€Å"A Primary Collision is the impact between the vehicle and another vehicle or object. Microsoft Case Analysis Essay There have been many arguments and issues that have been raised with the controversy over Microsoft and the U.S. Department of Justice’s claim against Microsoft and its founder Bill Gates of monopolistic practices in bundling its internet browser â€Å"Internet Explorer† into its popular Windows computer operating system. By doing this, Microsoft would effectively crush its competitors (it’s main rival being Netscape Navigator), and acquire a monopoly over the software that people use to access the Internet. I recently heard a listener on NPR (National Public Radio) comment about the monopoly issue between Microsoft and the U.S. D.O.J. that â€Å"Intellectual endeavors are vastly infinite and thus cannot be monopolized.† I wonder if the person who said this has ever tried telling that to Bill Gates. More importantly, is such a statement true? Does computer software constitute an intellectual endeavor that cannot be monopolized? To answer this issue, an inductive argument can be applied to determine if Microsoft truly has a monopoly over the computer industry. To say that something is infinite implies that there is an endless supply of it. Is this the case in terms of the Internet and the software that is used to â€Å"navigate† or â€Å"explore† the Internet as the two leading Internet Browsers have been dubbed by their makers? The resources of the Internet may seem infinitely vast, but it is wholly finite. There is an abundance of information out there on the Intern et that it seems unlikely that any one company or even a country like the U.S. could ever monopolize this vast data network. By the nature of how the Internet works and how information is stored and shared on the network, it is true that a monopoly cannot be held over the intellectual information stored within the Internet. On this point I will accede to the original author’s claim that intellectual endeavors cannot be monopolized, but this is vastly different from the issue that stands before Microsoft and the U.S. Department of Justice. The question that must be distinguished is not if Microsoft will gain a monopoly over the Internet, but if it will acquire a monopoly on how people access the Internet. These two are wholly separate issues. This is not a question of control of intellectual information, but the means by which people gain *access* to that information. Even if the information provided by the Internet was infinite, the tools by which to get to that information i s not. And thus a monopoly of the software to gain access to the Internet is very much possible. There are many corridors and keys that allow someone to gain access to the Internet. The real question here is whether Microsoft is seeking to widen it’s doors at the expense of others and at the same time seeking gatekeeper access to the Internet by seeking to obtain the only key that allows access to the Internet. A metaphor of this problem can be explained through a library building that has many entrances in which to reach the knowledge of books contained within. Is Microsoft seeking to close off the other entrances of other providers so that the only access is through its entrance? It would be very tempting to say yes, but that would be wholly unfair. Now that the problem and issue which is presented to us is clear, an examination of whether or not Microsoft is violating any anti-trust (anti-monopolistic) laws can now proceed. Before he installed Windows 95, John Dodge connected to the Internet using software from a Microsoft competitor, CompuServes Internet in a Box. Not anymore. Windows 95 silently disabled a key piece of his setup and made it too difficult for him to reinstall it. Dodge was not a novice. He is senior executive editor of the trade journal PC Week and so had access to the highest level support engineers. Even software professionals learn to take the path of least resistance, in this case, the path leading to Microsoft. He has become a regular user of the new Microsoft Network, though he has trouble with its Internet features. Still, he believes Microsoft executives when they deny trying to gain market share by sabotaging competitors software. He just wonders whether Microsoft has a full appreciation of its actions in the marketplace. There is reason to believe that Microsoft does (Gleick 1). If a seasoned computer expert was unable to disable the bug planted by Microsoft’s operatin g system then how are normal everyday lay people supposed to contend against any sabotage which could be silently planted into our computers without our knowledge?In another response from a computer industry leader, we get a glimpse of the power Microsoft has and the potential power which it is capable of wielding in the future.
